Terms and Conditions

These Terms of Use (the “Terms”) describe your legal rights and responsibilities when using the job posting and job application platform and related services provided by Rockinrole Inc. (the “Services”). These Terms create a legal and binding agreement between Rockinrole Inc. (“Rockinrole” or “we”) and the customer agreeing to be bound by these Terms (the “Customer” or “you”). Those persons who access the Services using Customer’s account are referred to as “End Users.”By creating a Rockinrole account, purchasing employer subscriptions, or accepting an invitation to use the Services under an existing Rockinrole account, you are agreeing to these Terms on behalf of the organization you represent. If you are an individual not formally associated with an organization, you are entering into this Agreement on your own behalf and you will be assigned as the administrator of your account. If you register using a corporate email domain, your organization is the Customer and can modify or reassign roles within your account and exercise the rights granted to the Customer. If your organization replaces you as administrator, we may notify you and you agree to take actions reasonably necessary to facilitate that transfer.By accessing or using the Services, you acknowledge that you have read, understand, and agree to be bound by these Terms and Rockinrole’s Privacy Policy, which is incorporated by reference.
Important notice: Section 16 contains dispute resolution terms. Please read them carefully.

1. Access to the Services and Acceptable Use
1.1 Access.

To access the Services you must register for a Rockinrole account and provide your full legal name, a valid email address, and any other information required by the registration process. Your login credentials may be used for a limited number of concurrent sessions that we set to prevent abuse. Access to the Services may also be procured under an order form between you and Rockinrole (an “Order Form”). You are responsible for ensuring that each End User abides by these Terms. You are responsible to: (a) inform End Users of policies and settings you enforce, (b) obtain rights and consents from End Users for lawful use of the Services and the processing of Customer Content, and (c) resolve any dispute between you and End Users related to Customer Content or your use of it. The Services are not intended for persons under 16. You and your End Users are responsible for all login credentials and for keeping them confidential. Notify us at support@rockinrole.com if you become aware of any unauthorized use or access.

1.2 Acceptable Use.
End Users must not:
a) access or tamper with non-public areas of the Services, Rockinrole’s systems, or service providers’ systems;
b) probe or scan the Services or networks or breach or circumvent security or authentication;
c) access or search the Services by any means other than our supported interfaces;
d) overwhelm or disrupt the Services by imposing unreasonable load, including automated requests beyond a human rate;
e) transmit malware, overload, spam, mail-bomb, or flood the Services, or script content to interfere with the Services.End Users must not use the Services to:
a) post unlawful content or engage in unlawful or fraudulent activities;
b) impersonate another person or misrepresent affiliation;
c) publish malicious content intended to damage another’s device;
d) send unsolicited promotions or spam;
e) publish content that is defamatory, libelous, threatening, harassing, hateful, or that incites violence;
f) post job ads that are discriminatory or that violate applicable employment laws, including laws of the Republic of Armenia where Rockinrole’s initial target market is located, and laws in the jurisdictions where roles are offered;
g) collect applicants’ sensitive data without a clear lawful basis and disclosures.Rockinrole may take any remedial action it deems necessary, including immediate suspension or termination of an account, if these provisions are violated or if necessary to prevent disruption or harm. If you are an End User, we may notify your organization or account administrator of violations.

2. Your Content
End Users may create, upload, submit, store, send, and receive content in connection with the Services, including job postings, company profiles, candidate profiles, resumes, cover letters, and messages (“Customer Content”). As between you and Rockinrole, you own all Customer Content. Subject to these Terms, you grant Rockinrole a worldwide, limited, non-exclusive, and non-transferable license to host, use, copy, process, transmit, display, and distribute Customer Content as reasonably necessary to provide, maintain, and update the Services, to prevent or address service, security, support, and technical issues, to comply with law and lawful requests, and as you expressly permit in writing.You represent and warrant that you have obtained all rights and consents necessary to submit Customer Content and to grant the foregoing license, including for personal data of applicants and contacts.

3. Third-Party Services
The Services may interoperate with third-party products and services such as email, storage, analytics, communications, applicant tracking, or payment services (“Third-Party Services”). Your use of Third-Party Services is solely between you and the provider. Rockinrole does not warrant or support any Third-Party Service, even if made available through the Services or designated as integrated. Providers of Third-Party Services may access Customer Content as needed for interoperation. You are solely responsible for reviewing their policies and practices. To the extent you authorize access or transmission of Customer Content through a Third-Party Service, Rockinrole is not responsible for any use, disclosure, modification, or deletion of Customer Content by that provider.

4. Fees
4.1 Fees.

Employer features are provided on a subscription basis with fees described on our pricing page or an Order Form. A valid payment method is required unless we agree otherwise. Fees are billed in advance and are non-refundable. Candidate access is typically free of charge unless otherwise noted.

4.2 Auto-Renewal.
Subscriptions automatically renew on the schedule you select. You authorize Rockinrole to charge applicable fees on or after each renewal date unless you cancel in accordance with Section 5.

4.3 Changes and True-Up.
You may add seats at any time and will be charged a pro-rated amount for the remaining subscription term. We may review your usage and invoice for overages. We may revise fees with at least twenty days’ notice, effective on your next term.

4.4 Taxes.
Fees are exclusive of taxes. You are responsible for all applicable taxes except those based on Rockinrole’s income.

4.5 Trials.
We may offer limited free trials. We may end a trial at any time. No organization or individual is entitled to more than one free trial.

4.6 Late Payment.
If undisputed fees are overdue and remain unpaid fifteen days after notice, we may suspend the Services until payment is received and may charge late fees.

5. Term and TerminationThese Terms remain in effect until all subscriptions expire, terminate, or are canceled. Either party may terminate a subscription if the other materially breaches and fails to cure within twenty days after written notice, or if the other ceases business or enters insolvency proceedings that are not dismissed within sixty days. You may cancel by notifying support@rockinrole.com at least thirty days before your renewal date. Upon termination, we may deactivate your account, but you remain obligated to pay any fees accrued before termination.

6. Rockinrole’s ResponsibilitiesWe will make the Services available to you and maintain industry-standard safeguards to protect Customer Content. If your data falls under GDPR, Armenia’s Law “On Personal Data Protection,” or similar laws, our Data Processing Addendum applies where executed. See our Privacy Policy for details.

7. ConfidentialityEach party may receive Confidential Information from the other, including business, technical, and Customer data. The receiving party will protect such information using at least reasonable care, will not disclose it except to authorized persons bound by similar obligations, and will only use it as necessary under these Terms. Either party may seek injunctive relief for unauthorized disclosure. Compelled disclosures will be limited to what is legally required.

8. Intellectual Property; Feedback
Rockinrole owns all intellectual property rights in and to the Services, excluding Customer Content. You are granted a limited, non-transferable license to use the Services in accordance with these Terms. If you provide feedback or suggestions, you grant Rockinrole an unlimited, irrevocable, royalty-free license to use that feedback for any purpose.

9. Disclaimer of Warranties
Except as expressly stated, the Services are provided “as is” and “as available.” Rockinrole disclaims all warranties, express or implied, including merchantability, title, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

10. Limitation of Liability
Except for indemnification obligations or liability that cannot be limited by law:
a) neither party will be liable for indirect, special, incidental, or consequential damages, or for lost profits or revenues;
b) each party’s total liability will not exceed the total amount paid by you to Rockinrole in the twelve months before the claim arose.

11. Export Compliance
You and your End Users will not use or access the Services in violation of export control or sanctions laws.

12. Use Outside Armenia
Rockinrole’s initial target market is Armenia. We operate from locations we choose and make no representation that the Services are available everywhere. You are responsible for complying with local laws wherever you use the Services.

13. Employment and Marketplace Terms
a) Rockinrole is not an employer of record or staffing agency. Employers are solely responsible for their job postings, hiring decisions, and compliance with employment laws in Armenia and other jurisdictions.
b) Employers must ensure postings comply with the Law of the Republic of Armenia and other applicable laws.
c) Applicants are responsible for the accuracy of their information.
d) Rockinrole does not guarantee hiring outcomes.
e) We may remove job posts that violate these Terms or the law.

14. IndemnificationCustomer Indemnity. You will defend and hold harmless Rockinrole from third-party claims arising from (i) your or End Users’ violation of these Terms, (ii) your Customer Content, or (iii) unlawful use of the Services.Rockinrole Indemnity. We will defend you against third-party claims that the Services infringe intellectual property rights, except where the claim arises from your misuse or modification of the Services.

15. ModificationsWe may update these Terms periodically. Material changes will be communicated by email or within the platform. Continued use after updates means you accept the new Terms.

16. Miscellaneous
16.1 Governing Law and Venue.

These Terms are governed by the laws of the Republic of Armenia. Courts in Yerevan, Armenia have exclusive jurisdiction.

16.2 Arbitration Option.
Disputes may be resolved by arbitration under the Law on Commercial Arbitration of Armenia, in Yerevan, in Armenian or English. Each party waives class actions.

16.3 Notices.
General notices may be sent by email or in-app notifications. Legal notices to Rockinrole must be sent to support@rockinrole.com and by courier to our address.

16.4 Publicity.
You grant Rockinrole permission to use your company name and logo in online and printed materials. You may withdraw this with written notice.

16.5 Severability and Waiver.
If a provision is unenforceable, it will be limited to what is necessary. No waiver is ongoing unless expressly stated.

16.6 Assignment.
Neither party may assign these Terms without written consent, except to an affiliate or successor in interest. Assignments to direct competitors of Rockinrole allow us to terminate with refund of unused prepaid fees.

16.7 Force Majeure.
Neither party is liable for delays due to causes beyond their control, including natural disasters, war, or network failures.

16.8 Relationship of the Parties.
The parties are independent contractors. These Terms do not create an employment, partnership, or agency relationship.

16.9 Entire Agreement.
These Terms, the Privacy Policy, any Data Processing Addendum, and applicable Order Forms constitute the entire agreement between you and Rockinrole.
